Terms of Service

Welcome to DriversHub. These Terms of Service ("Terms") govern your access to and use of the DriversHub website, mobile applications, and related services (collectively, the "Service"), operated by DriversHub, Inc. ("DriversHub," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and DriversHub.

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

DriversHub operates an AI-powered automotive marketplace that connects vehicle buyers with automotive dealers. Our platform enables buyers to post vehicle requests and receive matching offers from verified dealers, facilitating transparent negotiations and transactions.

The Service includes, but is not limited to:

• Vehicle request posting and AI-powered matching with dealer inventory
• Secure messaging and negotiation tools between buyers and dealers
• Dealer inventory management and buyer lead matching
• Insurance comparison services provided through our partnership with The Zebra
• Vehicle research and valuation tools
• Related automotive services and features

DriversHub is a marketplace platform and does not directly sell vehicles. All vehicle transactions are between buyers and dealers. We do not guarantee the availability, condition, or pricing of any vehicle listed on our platform.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify DriversHub of any unauthorized use of your account

You may not use another person's account without permission. You may not create multiple accounts to circumvent restrictions or for fraudulent purposes. DriversHub reserves the right to suspend or terminate accounts that violate these Terms or contain false information.

Dealer accounts are subject to additional verification requirements. Dealers must provide valid business credentials and comply with all applicable dealer-specific terms and subscription agreements.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, local, or international law or regulation
• Post false, misleading, or fraudulent information, including vehicle listings or buyer requests
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Harass, abuse, threaten, or intimidate other users of the Service
• Attempt to circumvent or manipulate our AI matching system or platform features
• Use automated systems, bots, or scripts to access the Service without authorization
• Collect or harvest user data without consent or for unauthorized purposes
• Interfere with or disrupt the Service or servers connected to the Service
• Transmit any viruses, malware, or other harmful code
• Engage in any activity that could damage, disable, or impair the Service
• Use the Service for any commercial solicitation not authorized by DriversHub

Violation of these conduct rules may result in immediate termination of your account and may subject you to civil or criminal liability.

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by DriversHub, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The DriversHub name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DriversHub or its affiliates. You may not use such marks without the prior written permission of DriversHub.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Modify or copy the materials on the Service
• Use the materials for any commercial purpose or public display
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or mirror the materials on any other server

The Service may contain links to or integrations with third-party websites, services, and applications ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy policies, or practices.

Our insurance comparison features are provided through our partnership with The Zebra, an independent insurance comparison marketplace. When you use these features, you may be subject to The Zebra's terms of service and privacy policy. DriversHub does not provide insurance products directly and is not an insurance company or licensed insurance agent.

Automotive dealers on our platform are independent businesses. DriversHub does not control and is not responsible for the actions, products, or services of any dealer. Any transaction you enter into with a dealer is solely between you and that dealer.

Your use of any Third-Party Services is at your own risk. We encourage you to review the terms and privacy policies of any Third-Party Services you access through our platform.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DRIVERSHUB NOR ANY PERSON ASSOCIATED WITH DRIVERSHUB MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

Without limiting the foregoing, neither DriversHub nor anyone associated with DriversHub represents or warrants that the Service, its content, or any services or items obtained through the Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our site or the server that makes it available are free of viruses or other harmful components, or that the Service will otherwise meet your needs or expectations.

DriversHub does not warrant or guarantee the accuracy of vehicle information, pricing, availability, or any other information provided by dealers or other users on the platform. Vehicle history reports, valuations, and other data tools are provided for informational purposes only and should not be relied upon as the sole basis for purchasing decisions.

TO THE FULLEST EXTENT PROVIDED BY LAW, DRIVERSHUB HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DRIVERSHUB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

In no event shall DriversHub's total liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amounts you have paid to DriversHub in the twelve (12) months prior to the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

You agree to defend, indemnify, and hold harmless DriversHub, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service, including any data or content transmitted or received by you
• Any content you submit, post, or transmit through the Service
• Your violation of any law or the rights of any third party, including intellectual property rights
• Any transaction or interaction between you and any dealer or other user of the Service

Governing Law: These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wilmington, Delaware, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

Class Action Waiver: YOU AND DRIVERSHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your Settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

DriversHub reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

We will notify you of changes by posting the updated Terms on the Service and updating the "Last Updated" date at the top of these Terms. We may also notify you via email or through the Service.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.
